Terms & Conditions
Datatim BV provides its services under two commercial names: Entrytickets (ticketing) and Entrywallet (cashless payment solutions). These Terms & Conditions consist of two parts:
Part A — Ticketing Services (Entrytickets) — applies to ordering and reserving Tickets via the Store.
Part B — Cashless Payment Solutions (Entrywallet) — applies to activating and using electronic consumption cards based on the Entrywallet concept.
Depending on the service you use, the corresponding part — or both parts — applies to you. The Dutch-language version of these Terms is the sole legally authoritative version; translations are provided for information purposes only.

Part A
Ticketing Services (Entrytickets)
Applies to ordering and reserving Tickets via the Store.
1. General Provisions – Definitions
In this Part A, the following capitalised words have the following meanings:
Event Organiser — The party that organises an Event and sells Tickets for access to it via an Entrytickets Store.
Event — An organised event, including but not limited to performances of an artistic and/or sporting nature, theatre or music performances, concerts and/or musicals.
User — The natural person or legal entity that uses the Store in any way.
Services — The services of Entrytickets that enable the User to order and/or reserve Tickets for Events.
Store — The Entrytickets service that enables the User to order and/or reserve Tickets from Event Organisers.
Ticket — Proof of admission to the Event organised by the Event Organiser.
Membership Card — A physical chip card purchased from Entrytickets and issued by the Event Organiser to its members.
Location — The place(s) where the Event is held.
Entrytickets — The official trade name of Datatim BV, registered in the Crossroads Bank for Enterprises (KBO/BCE) under number 0870.784.044, with registered office at Kuringersteenweg 46, B-3500 Hasselt, Belgium (email: hello@entrytickets.be, website: www.entrytickets.eu).
Terms — The conditions for the use of the Store.
Transaction and Service Fees — The fees charged by Entrytickets for the use of the Store.
Net Ticket Price — The price payable by the User per Ticket, less the Transaction and Service Fees.
These Terms apply to all visitors of the Store and to everyone who uses the Services. Use of the Store and access to the Services implies acceptance of these Terms. Entrytickets reserves the right to amend these Terms at any time.
2. The Services
2.1 Description of the Services
The Services provided by Entrytickets are:
- Displaying and promoting Events via the Store as submitted by the Event Organiser;
- Accepting online orders and processing tickets for submitted Events;
- Providing Users with a confirmation number for their transaction and their ticket;
- Assisting Event Organisers in promoting their Events to relevant Users;
- Helping Users discover relevant Events to attend;
- Providing the tools and platform for Event Organisers to create, manage, ticket, promote and host their Events;
- Managing a membership database on behalf of the Event Organiser.
2.2 The Role of Entrytickets
Use of the Store allows the User, within the availability and limits set by the Event Organiser, to reserve and receive one or more Tickets for the Events offered on the Store.
Entrytickets provides a platform that makes it possible to purchase a Ticket from an Event Organiser. Entrytickets therefore only handles the ordering process for Tickets. The purchase agreement for the Tickets is concluded exclusively between the User and the relevant Event Organiser. Entrytickets acts solely as an intermediary and is under no circumstances a party to the purchase agreement between the User and the Event Organiser.
The Store allows the User to reserve one or more Tickets until the date set by the Event Organiser, or until the available quantity is exhausted.
Entrytickets accepts no liability for errors in Ticket orders, for example regarding the number of Tickets and/or the type of Event. Tickets cannot be cancelled or exchanged through Entrytickets. For such matters, Entrytickets refers the User to the Event Organiser as the responsible party and seller of the Ticket.
2.3 The Store
Entrytickets will make all reasonable efforts to ensure continuity of the Services. However, it does not guarantee that the Store will be accessible at all times without interruptions or disruptions. Disruptions may occur as a result of (among other things) failures in the internet or telephone connection, or due to viruses or defects. Entrytickets is in no way liable to a User or an Event Organiser for any damage arising from the (temporary) unavailability or (interim) failure of the Store.
Entrytickets is entitled, without prior notice and without incurring liability towards a User or an Event Organiser, to (temporarily) take the Store out of service and/or restrict its use where it deems this necessary — for example, for reasonably required maintenance or in the event of (suspected) fraud or unlawful use of the Store.
Entrytickets is entitled, without prior notice, to make procedural and technical changes and/or improvements to the Store.
Information about Tickets and Events — including information about availability, dates, changes and cancellations of Events — originates from the Event Organiser, not from Entrytickets. Entrytickets cannot guarantee the accuracy of this information and accepts no liability for any damage suffered by the User as a result of Tickets being unavailable or of otherwise incorrect information from the Event Organiser. Entrytickets likewise accepts no liability for damage caused by the cancellation or postponement of an Event, nor in connection with the quality of the Event and/or the Location where it is held.
3. Ordering Tickets
The User purchases Tickets by completing the ordering process in the Store. The User is responsible for entering correct and complete information during this process.
The User will receive their tickets within 7 working days of receipt of payment, via a link sent to the email address they provided. The User is expected to store these tickets carefully (digitally) and, if necessary, print them on white paper. On request, they must be presented at the Event.
Electronic communications are deemed to have been received within 7 working days of dispatch, unless the recipient proves otherwise. If a communication is not received due to delivery or accessibility problems with the User's mailbox, this is at the User's risk — including where the mailbox is hosted by a third party.
If the User has not received the Tickets within this period, the User must contact Entrytickets in writing (by letter or email at support@entrytickets.be). After this period has passed, Entrytickets assumes the User has received the Tickets in good order.
4. Payment Method and Payment Process
4.1 Payment Method
The Store accepts various payment methods. The availability of a payment method may vary per Event and over time. The User is in all cases responsible for executing the payment and for the associated details.
The User pays the prices set by the Event Organiser as shown in the Store. Transaction and Service Fees are charged for the use of the Store and the processing of payment, and are included in the price shown per Ticket.
Transaction and Service Fees may vary depending on the method and time of purchase. All costs are shown at the time of ordering. No costs other than those shown are charged.
The price shown at final checkout is inclusive of all levies and taxes. The User pays this amount to the organisation via the options offered during the ordering process. Where payment is made by a direct payment method (e.g. Visa, Mastercard), the User authorises Entrytickets or its partner(s) to process this payment and transfer it to Entrytickets or the Event Organiser.
Entrytickets aims to prevent all forms of extortion, deception and fraud, and to avoid any discrimination in relation to access to and use of the Store. Accordingly, the Event Organiser and Entrytickets accept no responsibility if the User fails to complete payment or provides incorrect details when reserving one or more Tickets.
4.2 The Role of Entrytickets
Entrytickets does not offer banking services, the receipt of deposits, stored value, insurance or other financial services to an Event Organiser; it acts only as a limited collection agent for payments as described here. To provide the Services, Entrytickets uses external gateways and payment processors (together, “Payment Processing Partners”).
The User carries out the relevant payment transaction via a third-party service and is bound by the applicable terms of use for that service. Entrytickets accepts no responsibility or liability (and fully disclaims it) for this collection or for the performance or non-performance of such a third-party service.
5. The Event
Only the holder who first presents the Ticket at the start of the Event is granted access.
Entrytickets cannot be regarded as the Event Organiser and is therefore not responsible for, and gives no warranty on, the (artistic) quality and content of the Event or the conduct of affairs in or around the Location, and accepts no liability on this basis.
Entrytickets can never be held liable for any damage resulting from death, injury, accidents, loss, damage or theft caused by the User before, during or as a result of a visit to the Event or the Location.
The User accepts that additional conditions of the Event Organiser or of third parties may apply to the use of Tickets and to access to Events. Entrytickets is not responsible for these additional conditions and accepts no liability for any damage suffered by the User as a result of them.
6. Right of Withdrawal – Termination, Dissolution and Cancellation
If and to the extent that the Event is cancelled by the Event Organiser, Entrytickets will never reimburse the User more than the ticket price, and only where that price has demonstrably been paid to Entrytickets. Transaction and Service Fees and any other additional costs paid by the User for the services of Entrytickets are not reimbursed. In such a case, Entrytickets accepts no liability for any direct or indirect costs, expenses or other damage the User may suffer.
Entrytickets draws the User's attention to the fact that the Store relates to leisure activities and that the right of withdrawal under Article VI.53, 12° of the Belgian Code of Economic Law does not apply.
Without prejudice to anything stated elsewhere in these Terms, Entrytickets has the right to dissolve the agreement for the use of the Services immediately — without judicial intervention and without incurring liability towards the User — and to cancel reserved Tickets, if the User and/or the Event Organiser fails to meet its payment obligations, or if in Entrytickets' opinion the User has committed fraud, provided false payment details, or withdrawn a payment, or if Entrytickets otherwise identifies irregularities.
7. Data Provided and Privacy
For full details of how personal data is collected, stored and processed, see our Privacy Policy. The summary below describes the data handled in connection with the Store.
When using the Store, the User provides Entrytickets with the following (personal) data:
- First name and surname
- Telephone number
- Email address
- Language preference
- Ordered tickets
- Payment details
- Additional data requested by the Event Organiser (e.g. meal choice, gender)
This (personal) data is stored and processed in accordance with applicable law and will not be provided to third parties without prior consent, unless Entrytickets is legally required to do so or does so to defend its rights.
If the User gives explicit consent, this data may be used for commercial purposes, including direct marketing, and such processing may also be carried out by third parties. The User has the right to object to processing for commercial and direct-marketing purposes. On the User's first request, Entrytickets will immediately cease this form of processing.
If the Event Organiser uses membership cards supplied by Entrytickets, Entrytickets stores no personal data physically on the chip card other than a unique identification number. Only the Event Organiser can use this identification number to retrieve personal data from its own membership database.
8. Event Organiser Account – Obligations of the Event Organiser
8.1 Account
Entrytickets provides the Event Organiser with an account showing, per Event, the status of Tickets sold, including:
- Amounts received, split into the Net Ticket Price and the Transaction and Service Fees;
- The details of Users who have purchased one or more Tickets via the Store.
8.2 Invoicing, Payment and Payout
After the Event, Entrytickets pays out the Net Ticket Price it has received from Ticket sales to the Event Organiser. The Transaction and Service Fees are invoiced by Entrytickets to the Event Organiser after the Event and paid to Entrytickets.
8.3 Taxes and Levies
Entrytickets is in no way responsible or liable for the payment of any tax or levy (including but not limited to VAT, personal income tax or corporate income tax) relating to the Ticket sold by the Event Organiser to the User. Entrytickets acts solely as an intermediary between the Event Organiser and the User and is therefore only responsible and liable for taxes and levies applying to the Transaction and Service Fees it charges per Ticket delivered. Any tax or levy relating to the Net Ticket Price must be paid by the Event Organiser and is in no way the responsibility or liability of Entrytickets.
8.4 Permits and Licences
The Event Organiser will:
- Obtain all applicable licences and permits relating to the Event and/or its activities in general before Tickets go on sale;
- Comply with all statutory and regulatory requirements when organising the Event;
- Ensure that each Location meets all applicable statutory and regulatory requirements;
- Indemnify Entrytickets, its representatives and affiliated companies against any damage arising from or connected with the failure to meet these obligations;
- Provide Entrytickets, on simple request, with all necessary information and documentation regarding the Event and/or the Location.
8.5 Confirmations
The Event Organiser undertakes to unconditionally accept all Tickets confirmed by Entrytickets, and to verify a User's confirmation number before the relevant Event.
9. Liability
Entrytickets accepts no liability for damage resulting from the provision of the Store, whether from tort or otherwise, to the extent permitted by mandatory law.
To the extent Entrytickets is nevertheless liable for such damage, the amount of compensation is limited to the Transaction and Service Fees charged for the use of the Store.
If and to the extent that Entrytickets is unable, wholly or partly, to meet its obligations towards the User and/or the Event Organiser due to force majeure, the User and/or Event Organiser can derive no right to compensation from this. Force majeure includes, among other things: war, threat of war and civil unrest; obstructive measures by domestic or foreign authorities; serious calamities; fire; strikes; failure of and damage to equipment and control systems; obstruction or stoppage of transport; flooding; lockouts and sabotage; and in general all unforeseen circumstances, at home or abroad, as a result of which compliance with these Terms can no longer reasonably be required of Entrytickets.
Entrytickets accepts no liability for the loss or damage of Tickets by the User for any cause whatsoever. From the moment the ticket is made available to the User, the risk of loss, theft, damage or misuse of the Ticket rests with the User.
Entrytickets accepts no liability for the purchase and delivery of Tickets that do not take place through Entrytickets, nor for arrangements that are not fully settled by Entrytickets and in which a third party (such as a box office at the Location) is involved, whether directly or not. Where Entrytickets' liability is excluded or limited, this also applies to the liability of its subordinates and/or auxiliary persons.
The User and/or Event Organiser indemnifies Entrytickets against all third-party claims of any kind relating to compensation for damage, costs or interest connected with or arising from the improper use of the Store, a breach of these Terms, or any infringement of third-party rights.
10. Applicable Law and Jurisdiction
The User accepts that additional conditions of Event Organisers may apply to the use of Tickets and to access to Events. Entrytickets is not responsible for these additional conditions and accepts no liability for any damage suffered by the User as a result of them.
If any provision of these Terms is void or partly unenforceable, the remaining provisions will remain unaffected and retain their full effect, save for the contested clauses to the extent possible.
In the event of a dispute, only the Enterprise Court of Hasselt, Belgium has jurisdiction, with proceedings conducted in Dutch, and only Belgian law applies.
Part B
Cashless Payment Solutions (Entrywallet)
Applies to activating and using electronic consumption cards based on the Entrywallet concept.
Issuance of electronic consumption cards based on the Entrywallet concept — General Terms of Use
These terms apply to anyone who registers via the web page to activate the electronic consumption card received from a participating organiser and to use it to pay for consumptions during their events.
1. Context of these Terms
1.1 These terms form an agreement between you and Entrywallet
By accepting these terms, you enter into an agreement with Datatim (known under the commercial name “Entrywallet”), a private limited company (besloten vennootschap) with registered office at Kuringersteenweg 46, 3500 Hasselt (Belgium) and company number 0870.784.044, regarding the use of the Entrywallet concept.
1.2 About the Entrywallet concept
Entrywallet operates a platform (the “Entrywallet platform”) that allows organisers to distribute electronic consumption cards among the participants at their events.
1.3 Non-applicability of the payment services law
Entrywallet provides its services under an exemption regime (limited network) of the Belgian Act of 11 March 2018 on the status of and supervision over payment institutions and electronic money institutions. As such, that Act (including its provisions protecting payment service users) does not apply.
1.4 Terms used in these terms
The terms used in these terms have the following meanings (in both the singular and the plural):
a) organiser — refers to the organiser of events, as the professional customer of the services described in these terms.
b) participant — a consumer who takes part in an event organised by the organiser and who, in the context of that event, holds an electronic consumption card based on the Entrywallet concept.
c) Entrywallet concept — the concept that allows organisers to distribute electronic consumption cards among the participants at their events and, on the basis of those consumption cards (activated and topped up by the participants), to receive payments for consumptions into an Entrywallet account.
d) Entrywallet services — the services that form the basis of the Entrywallet concept, consisting of (i) offering an Entrywallet account, to the organiser on the one hand and to the participants at their events on the other, for holding electronic money, and (ii) executing the associated wallet-to-wallet transactions in favour of the organiser via the Entrywallet platform. See also section 2 (Description of the services) below.
e) Entrywallet account — the e-wallet opened with Entrywallet in the name of the participant (in accordance with these terms) or in the name of the organiser (in accordance with Entrywallet’s general terms applicable to organisers).
f) Entrywallet platform — the platform developed by Entrywallet on which the Entrywallet accounts are opened and payments are made in favour of the organiser in accordance with these terms.
g) account space — your personal space within the Entrywallet platform, accessible via entrytickets.eu, within which you have access to the functionalities described in section 6 (Functionalities of the Entrywallet account (via the account space)) below.
h) Entrywallet payout — the refund of all or part of the amount of electronic money available on your Entrywallet account, by transfer to the payment account you have designated for that purpose.
2. Description of the Services
2.1 Entrywallet account in the name of the participant
After you register as a participant, Entrywallet opens an Entrywallet account in your name with an associated personal account space.
2.2 Topping up the Entrywallet account
Users can top up their Entrywallet account via an external payment service provider online, or physically during the event by making a payment to the organiser. This can be done, for example, by cash payments or card payments at a location designated for that purpose within the event.
2.3 Making payments from the Entrywallet account
Users can use the electronic money purchased on their Entrywallet account to buy goods and services offered by the organiser at the event.
3. Obligations of the Participant
3.1 Security of devices and login credentials
It is the participant’s responsibility to ensure that all devices, passwords and all other login credentials used for their access to the Entrywallet account (in particular the account space) are properly secured. As a participant, you bear all losses caused by unauthorised refunds where the losses result from intent or negligence on your part.
3.2 Reporting (potential security) incidents
If you have doubts about the security of your Entrywallet account, you must immediately contact Entrywallet at support@entrytickets.be, stating your Entrywallet identification number. Entrywallet will then temporarily block your Entrywallet account and provide you with new login credentials.
In the event of an unauthorised payment booked from the Entrywallet account before you asked Entrywallet to block your Entrywallet account, you bear all resulting losses unless (i) you could not detect the loss or theft of login credentials or the misappropriation of your Entrywallet account before the transaction, or (ii) the losses are due to the acts or omissions of an employee or agent of Entrywallet or of an entity to which its activities have been outsourced.
4. Refusal of Payment Transactions
Entrywallet reserves the right to refuse payment transactions temporarily or permanently if:
a) there are strong indications that the person initiating the payment is not the rightful holder of the payment method used, or that the payment, if executed, would be fraudulent; or
b) the execution of the payment(s) would generally not be in accordance with these terms, the applicable Belgian or European legal requirements, and/or the rules of the payment service providers used by Entrywallet, in each case as in force at the time of payment.
The refusal of a transaction is always brought to the participant’s attention. You may always contact Entrywallet for more information about the refusal of a payment. Entrywallet will provide that information if it is available (unless legal requirements prohibit its disclosure). A refusal of a transaction can under no circumstances give rise to compensation.
5. Suspension of Services
Entrywallet reserves the right to suspend the delivery of the Entrywallet concept in whole or in part if:
a) it is ordered to do so by a competent judicial or administrative authority;
b) in its own reasonable judgment it considers that continuing to provide its services could endanger its reputation or that of its partners or co-contractors, regulatory authorities and/or the general public;
c) the participant’s Entrywallet account has been compromised;
d) the organiser’s Entrywallet account has been compromised or blocked by Entrywallet in accordance with the contractual provisions applicable between Entrywallet and the organiser.
Entrywallet will endeavour to announce its intention to suspend its services in advance where possible (and legally permitted). In any event, the suspension does not give rise to compensation.
6. Functionalities of the Entrywallet account (via the account space)
Through your own space on the Entrywallet platform (account space), you can use the functionalities described below. Entrywallet may at any time and without informing you make commercial and practical changes to the layout, form and wording of the information on the website(s) or screens that give access to your account space.
6.1 Consulting the outstanding balance and transaction history
Within the account space you can consult the balance on your Entrywallet account, as well as the details of the payments carried out with it and the refunds carried out.
6.2 Making payments
Within the account space you have the option to top up the balance of your consumption card using online payment methods. Once topped up, you can use this balance to purchase goods from the organiser during the relevant event(s).
6.3 Linking payment accounts
Within the account space you can link a payment account (IBAN account) to the Entrywallet account for receiving refunds. Only payment accounts held with a European credit or payment institution are accepted. As an alternative, it is also possible to receive refunds directly to the online payment method used to top up the consumption card. To do so, you must contact Entrywallet or use the designated function within the account space. Refunds may be subject to a service fee.
7. Security and Continuity Measures
7.1 Security and continuity of the Entrywallet platform
Entrywallet is responsible for the security and continuity of the Entrywallet platform. To that end it will take all reasonable measures, in particular for any action that entails a risk of payment fraud (such as the linking of payment accounts in accordance with section 6.3 (Linking payment accounts) above).
Entrywallet reserves the right to temporarily block your Entrywallet account and the associated account space for objectively justified reasons relating to the security of the account and/or a suspicion of unauthorised or fraudulent use of it. Unless this is not possible for security reasons, Entrywallet will inform you of the block (if possible before the Entrywallet account is blocked, and at the latest immediately afterwards).
7.2 Protection of personal data
Entrywallet processes personal data (including that of your participants) in accordance with the applicable data protection rules (GDPR). For more information on how Entrywallet collects, processes and uses personal data, please refer to its Privacy Policy.
8. Liability
8.1 Entrywallet
Entrywallet is responsible for correctly processing Entrywallet transactions initiated by participants and requests for refunds, without prejudice to the application of, among others (but not limited to), section 1.3 (Non-applicability of the payment services law), section 3.1 (Security of devices and login credentials), section 4 (Refusal of payment transactions) and section 5 (Suspension of services) above.
Where a transaction or refund was not processed or was processed incorrectly and the responsibility for this lies with Entrywallet, Entrywallet will still process the transaction or refund correctly. The participant has a period of one month, counted from the date of the transaction (in the event of non-processing) or from the date of processing of the transaction (in the event of incorrect processing), to report irregularities in the processing of the transaction to Entrywallet. In no event will Entrywallet owe interest.
Entrywallet’s liability for any damage resulting from the use or improper functioning of the Entrywallet platform is limited to damage arising from intent or gross negligence on its part. Except in the case of intent, Entrywallet is not liable for indirect damage (such as, but not limited to, loss of profit, loss of commercial opportunities, participants or turnover), and its liability is limited to the amount that the organiser pays monthly in accordance with these terms.
In no event is Entrywallet liable for any damage resulting from the use or improper functioning of the Entrywallet platform when (and to the extent that) the damage is caused by:
- acts or omissions of the organiser, including with regard to information provided to participants;
- a malfunction and/or inadequacy of the organiser’s hardware and/or software equipment, whatever the cause;
- a failure of the internet or of the systems offered or used by telecom providers or payment service providers (other than Entrywallet); or
- force majeure.
8.2 The organiser
In the event that a third party, in any capacity whatsoever, holds Entrywallet liable for your products or services, you will indemnify Entrywallet on first request for all imposed fines or civil judgments and for all reasonable costs incurred to defend Entrywallet (including reasonable lawyers’ fees and reasonable experts’ fees).
Entrywallet is not involved in the relationship between you and your participants regarding the consumption goods you offer in the context of your events. Entrywallet is not liable in the event of a dispute with your participants regarding the delivery or quality of the goods purchased on the basis of the Entrywallet concept.
Without prejudice to the provisions in these terms that provide for the liability of the organiser (such as the provisions in (but not limited to) section 3.1 (Security of devices and login credentials) and section 3.2 (Reporting (potential security) incidents)), you will indemnify Entrywallet and/or the payment service providers it uses for all direct and indirect costs, losses, fines or damage in respect of your participants, relevant payment systems or other bodies that would be charged or imposed on Entrywallet and/or the other payment service providers as a result of a security breach attributable to you or a failure to comply with applicable terms. You will also compensate Entrywallet and/or the other payment service providers for the costs of an audit, including the reasonable fee of any appointed third party.
9. Intellectual Property
As an organiser, you have a personal, revocable, non-exclusive and non-transferable right to access and use the Entrywallet concept. You acknowledge that:
a) all claims and interests directly or indirectly related to the Entrywallet concept (including (but not limited to) the Entrywallet platform, the Entrywallet account, the account space) and the various elements of which they consist (including (but not limited to) texts, photos, catalogues, layouts, trade names, logos, illustrations, specific software, videos), and all associated intellectual property rights (including (but not limited to) patents, copyrights, trade secrets, trademarks), are and remain at all times the exclusive property of Entrywallet (or its licensors);
b) you may not copy, decompile, modify, translate, disassemble or otherwise alter any elements of the Entrywallet platform without the prior written consent of Entrywallet; and
c) all rights not expressly granted to you are and remain the sole and exclusive property of Entrywallet (or its licensors).
10. Communication Between the Parties
10.1 Regarding the acceptance of these terms
The parties agree that they may exchange electronically the information necessary for concluding the framework agreement, including these terms. They acknowledge that the processes established at the time of concluding the framework agreement, including these terms (for example, the use of electronic signatures and authentication by confirmation of an OTP code), are functionally equivalent to a handwritten signature on a paper document, and that the agreement thus concluded has the same evidential value as an agreement on paper.
10.2 During the performance of the framework agreement
Declarations and notifications during the performance of the framework agreement will be communicated in Dutch on paper, by email or via the account space. Any written communication may be made by means of electronic communication that can be recorded in text form, unless expressly stated otherwise (see, for example, section 11 (Duration, renewal and termination of these terms) below regarding the termination of the framework agreement, including these terms).
The organiser undertakes to maintain a postal address and a valid email address throughout the entire term of the framework agreement, and to inform Entrywallet immediately of any change of address or change of other contact details previously provided. You are deemed to have received any electronic communication at the last email address you provided, as of the date on which the communication is sent. A paper communication by post to the last postal address you provided is deemed to have been received on the third working day following dispatch.
It is the organiser’s responsibility to ensure that the settings of their email filter system (anti-spam or other) or the status of their mailbox (possible capacity limitation) allow them to receive emails sent by or via the Entrywallet platform.
11. Duration, Renewal and Termination of these Terms
These terms take effect from the signing of the framework agreement by the organiser and Entrywallet. Without prior notice of termination by registered letter received three months before the expiry date, these terms are automatically renewed for a new period of one year each time.
In the event of a serious breach in the performance of these terms, Entrywallet or the organiser may terminate the framework agreement, including these terms, with immediate effect (without prejudice to the right to claim damages and interest). Serious breaches include, among other things (but not exclusively):
- the failure by a party to comply with its obligations under these terms where it has not remedied the breach within thirty (30) days of notice thereof by registered letter.
In addition, Entrywallet may terminate the framework agreement, including these terms, with immediate effect if:
- the ground for suspension of services under section 5 (Suspension of services) above persists for a period of 30 calendar days;
- the organiser’s Entrywallet account shows a negative balance for a period of 30 calendar days; or
- no transactions have been carried out on the organiser’s Entrywallet account for a period of at least three months.
The framework agreement, including these terms, is dissolved by operation of law if:
- bankruptcy or insolvency proceedings are initiated against one of the parties; or
- the organiser ceases its activities, for example due to the closure of its business.
12. Consequences of Termination
If the framework agreement is terminated for any reason whatsoever, the organiser loses the right to use the Entrywallet concept and the licences granted to it for the use of the Entrywallet platform. Likewise, the use of logos, trademarks or any other type of intellectual property right granted to it in the context of the performance of the framework agreement will be terminated. The organiser undertakes to remove all identifications relating to the Entrywallet concept and the logos and stickers the organiser is permitted to display, including (but not limited to) those displayed at points of sale and on the organiser’s websites.
When Entrywallet closes the organiser’s Entrywallet account and associated account space:
- the organiser permanently loses the ability to access it afterwards; and
- the amounts still standing on the organiser’s Entrywallet account are automatically transferred to the payment account linked to the Entrywallet account in the organiser’s name, after deduction of the amounts still owed.
The dissolution does not affect the rights and obligations the organiser may have contracted before the termination of these terms. The obligations of each of the parties, as defined in these terms and intended to survive the dissolution, remain in force by operation of law.
13. Final Provisions (Standard Clauses)
13.1 Entire agreement
The framework agreement, including these terms, constitutes the entire agreement between the parties and cancels, negates and replaces all prior written or oral, confidential or official communications between the parties or their respective advisers regarding its subject matter.
13.2 Consulting these general terms
You can consult the most recent version of these general terms at any time on the Entrywallet platform within your account space. On request, you can obtain by email a copy of the version of the general terms in force at the time of signing the framework agreement.
13.3 Amendment of these general terms
Entrywallet reserves the right to amend these terms at any time and, unless the amendment must be implemented more quickly to comply with legal requirements, you will be notified of the amendment at least two months in advance by email and/or by a notification on the Entrywallet platform.
If you do not agree with the amendment, you may terminate the framework agreement, including these terms, within the two-month period by notifying Entrywallet in the manner provided in section 11 (Duration, renewal and termination of these terms) above. However, if you continue to use the services described in these terms after the two-month period, this will be considered acceptance of the amended terms.
Upon amendment of the general terms, the new, amended version will apply and will replace the previous versions in their entirety.
13.4 Severability of the provisions
If a provision of these terms is invalid for any reason whatsoever, the remaining provisions remain fully in force. The invalid provision will be replaced retroactively by a valid provision whose content is economically or functionally as close as possible to that of the original provision.
13.5 Conflicts
In the event of any conflict or discrepancy between the Dutch-language version of these terms and a version in another language, the Dutch-language version always prevails. In the event of conflicts between provisions in these terms and provisions in the framework agreement regarding the relationship between Entrywallet on the one hand and the organiser on the other, the provisions in these terms prevail.
13.6 No waiver of remedies
Entrywallet may grant the organiser a grace period to comply with certain obligations or decide not to exercise some of its rights. However, Entrywallet always retains the right to demand strict compliance with these terms.
13.7 Transferability
The organiser may not transfer the rights or obligations accruing to it under the framework agreement or these terms without the prior written consent of Entrywallet.
If Entrywallet decides to transfer the organiser’s Entrywallet account to another entity (for example during a reorganisation), it will notify you of such a change in accordance with the procedure described in section 13.3 (Amendment of these general terms) above.
13.8 Representation
Entrywallet reserves the right to designate a third party as its representative to enforce its rights under these terms in whole or in part.
13.9 Law applicable to these terms
These terms are governed by Belgian law.
13.10 Competent courts
Any dispute arising from the validity, interpretation, performance or non-performance, interruption or dissolution of these terms is subject to the exclusive jurisdiction of the courts of Hasselt.
